Establishment of the Management Advisory
Committee |
|
On June 27, 2002, Mitsubishi Rayon (code # 3404,
TSE Sec.1, Head office: Minato-ku, Tokyo, President: Yoshiyuki
Sumeragi) will establish a standing Management Advisory Committee.
This Committee will be charged with improving the fairness and
transparency of Company management as well as strengthening
the quality of Mitsubishi Rayon’s overall corporate governance. |

1. Overview of the Management Advisory Committee
(1) Members The Committee will consist of five members:
the Mitsubishi Rayon Chairman, the Corporate Auditor and Advisor,
and two respected experts from outside the Companies.
(2) Functions The Committee will focus heavily on compliance
and shareholder concerns as they apply to Mitsubishi Rayon Group
management practices. It will also employ its outsider status
to provide the Mitsubishi Rayon President with suggestions and
advice on the following:
1. Medium- to long-term management goals for the Group as a
whole 2. Company presidential candidates or successors
3. Appropriate remuneration for the Company President
(3) Scope of Authority While the Committee has no binding
powers, the President is expected to carefully consider Committee
recommendations when deciding on a course of action
(4) Dates Convened The Committee will meet a minimum of
three times annually (in March, May, and November), with additional
meetings held as necessary
(5) Length of Appointment Committee appointments are for
one year, with possible reappointment |
